Avencia Consulting are hiring on behalf of a market leading specialty insurer and reinsurer who have a newly created opportunity for a Corporate Paralegal and Company Secretarial Assistant.

The role

  • To provide support to the Group and UK Legal teams in relation to all aspects of the provision of legal services (corporate, commercial, underwriting and claims) concerning both day to day and corporate and project-related matters.
  • To provide support to the UK Company Secretarial function in the provision of excellent Corporate Governance and Board/ Committee procedural support to the UK entities.

Key accountabilities

  • To provide support to the Group and UK Legal teams in relation to all aspects of the provision of legal services (corporate, commercial, underwriting and claims) concerning both day to day and corporate and project-related matters.
  • To provide support to the UK Company Secretarial function in the provision of excellent Corporate Governance and Board/ Committee procedural support to the UK entities.
  • Fulfil purpose in line with the Culture & Values of the business.
  • Assist UK and Associate Group General Counsel as required with legal support for all areas of the business.
  • Assist Associate Group General Counsel with scheduling and planning of Group Committees as required.
  • Assist UK General Counsel with budgeting and planning (including use of budgeting and e-billing tools).
  • Assist the UK Company Secretary as required with preparation of UK Corporate Governance calendar.
  • Annual, quarterly and ad hoc filings - responsible for gathering the information needed for annual and quarterly filings assisting with the process work around such disclosures (e.g. the Disclosure Committee, Director & Officer Questionnaires), input disclosures into the Company's software platform and review the disclosures prior to filing.
  • Disclosure Committee support - schedule and maintain the calendar for Disclosure Committee meetings, attend meetings and take minutes, prepare Disclosure Committee agendas and packs, distribute disclosure documentation, review and collate all matters and items disclosed prior to Disclosure Committee meeting for discussion.
  • Review of Company documents to be published externally (e.g. investor presentations, earnings press releases, financial supplements and opinions).
  • Assist with renewal of the company's own insurance as required (e.g. collect and collate information from different areas of the business, complete submission documents, coordinate with brokers to ensure accuracy of information and completion of correct information for a timely renewal).
  • Maintain legal team contracts database.
  • Assist Company Secretary with maintenance of Company books and filing systems.
  • Assist Company Secretary and legal teams with ensuring compliance with the Company's various charters and corporate governance guidelines and assist with Board and Committee effectiveness review.
  • Assist with the preparation of Annual General Meeting(s) as required.
  • Assist with annual review of Board and Committee Terms of Reference.
  • Corporate legal support - due diligence activities on corporate transactions, draft closing certifications, review transactional documentation and coordinate with external counsel.
  • Review, negotiate and draft agreements, including confidentiality agreements, investment management agreements, software agreements and other ad hoc agreements.
  • Provide support to UK legal team in relation to local regulatory and general operational requirements of branch offices of UK companies.
  • Provide support to UK legal team in relation to management of contentious issues.
  • Assist with group-wide legal initiatives.
  • Document review and proof-reading.
  • Assist with licensing filings in various jurisdictions.
  • Board and Committee preparation - assist the Company Secretary (under their direction) to draft Board and Committee meeting minutes, agendas, resolutions and packs; liaise with directors and executive officers in preparation of Board and Committee meetings.
  • Coordinate with registrar and transfer agent, including drafting instruction letters as required.
  • Assist the UK Company Secretary with corporate filings as required.
  • Maintain effective working relationships with key stakeholders across a wide range of roles and seniorities.

Skills & experience

  • Excellent legal knowledge
  • Insight into commercial pressures affecting an in-house legal team
  • Excellent knowledge of corporate governance and company secretarial role
  • Educated to degree level or equivalent standard
  • LPC (or equivalent) preferred
  • Significant prior paralegal experience
  • Some experience of company secretarial support
  • Experience working in or for (re)insurance sector preferred
